1. Application of These Terms
These Terms and Conditions of Sale ("Sale Terms") apply to any quotation, order, or sale of services or related products by DialSync Solutions ("DialSync", "we", "us") to a business customer ("you"). They are in addition to our U.S. Terms of Service and any Master Service Agreement or Service Order between us. In the event of conflict, the Service Order controls, followed by the MSA, then these Sale Terms.
2. Quotations & Orders
Quotations are valid for 30 days unless otherwise stated and may be withdrawn or varied at any time before acceptance. An order is binding only when (a) you sign or electronically accept a DialSync Service Order, and (b) DialSync confirms acceptance of the order in writing or by activating Services.
3. Pricing
Prices are as stated in the applicable Service Order or current rate sheet. Wholesale voice termination rates are subject to change with notice as set forth in your Service Order, typically with at least 7 days' notice for rate increases on standard destinations. All prices are exclusive of taxes, regulatory fees, USF, and similar surcharges, which will be added where applicable.
4. Payment
Unless otherwise agreed, invoices are payable Net 7 from the date of issue. Accepted payment methods include bank transfer (ACH or wire) and, where pre-arranged, credit card. DialSync may require a security deposit or prepayment for new customers, customers with elevated risk profiles, or customers exceeding agreed credit limits.
Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. DialSync may suspend Services for accounts that are 7 or more days past due.
5. Provisioning & Delivery
DialSync will use commercially reasonable efforts to provision Services within the timeframes set out in the Service Order. Provisioning timelines for wholesale voice termination are typically 24–48 hours from order acceptance and completion of KYC. Where third-party carriers, number portability, or hardware delivery is involved, longer timelines may apply.
6. Acceptance & Testing
You will have a reasonable period (typically 5 business days) following activation to test the Services. If you do not raise a defect notice within that period, the Services are deemed accepted. Defects raised during the testing period will be remediated under our standard support process.
7. Title & Risk
For any hardware sold (e.g., SIP devices, gateways), title passes to you on full payment of the invoice. Risk passes on delivery to the address specified in the Service Order. You are responsible for insuring the hardware from the point of delivery.
8. Warranties
DialSync warrants that the Services will be provided with reasonable care and skill and in conformity with the description in your Service Order. Except as expressly stated in these Sale Terms or your Service Order, all other warranties, conditions, and representations, whether express or implied, are excluded to the maximum extent permitted by law.
9. Intellectual Property
All intellectual property rights in the Services, the Site, our software, documentation, and any deliverables remain with DialSync or its licensors. You are granted a non-exclusive, non-transferable licence to use the Services and any associated deliverables solely for your internal business purposes during the term of the Service Order.
10. Force Majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, government actions, war, terrorism, civil unrest, cyber-attacks, third-party network failures, pandemics, and natural disasters. The affected party must notify the other promptly and resume performance as soon as practicable.
11. Order of Precedence
In the event of any conflict between these Sale Terms and other documents forming part of your agreement with DialSync, the order of precedence is: (1) the Service Order; (2) the Master Service Agreement (if any); (3) these Sale Terms; (4) the U.S. Terms of Service.
